Terms and conditions
The short version
- Accelamos drafts client emails and messages. Your team reviews and approves them before they are sent, and you stay responsible for what goes out.
- Solo is £29 per month and Team is £38 per user per month, both plus VAT. Cancel any time, with no long-term commitment.
- You own your data. We do not use it to train AI models.
- Accelamos is for businesses, not consumers. These terms are governed by the law of England and Wales.
1. About these terms
1.1These terms apply to your use of Accelamos, an AI assistant that drafts client emails and messages for accounting firms. Accelamos is a trading name of Open Energy Software Ltd, company number 16111131, registered at 128 City Road, London, England, EC1V 2NX (“we”, “us”).
1.2You (“Customer”) are the accountancy practice, firm or individual accountant that signs up to Accelamos. By registering, accepting an order form or using the service, you agree to these terms. If you sign up for a firm, you confirm you have authority to bind it.
1.3Accelamos is for business use only. It is not offered to consumers.
1.4Together with any order form and our Data Processing Agreement (“DPA”), these terms are the “Agreement”. If the DPA and these terms conflict on personal data, the DPA prevails. A signed copy of the DPA is available on request. If an order form and these terms conflict, the order form prevails for the items it covers.
2. The service and plans
2.1We provide Accelamos as an online service. It drafts emails and messages using your firm’s context, tone and the information available to your team, and connects to the email, messaging and practice management systems you choose. It can also sign in to the systems you connect, move data between them and complete workflows you set up, which can include following up with your clients.
2.2Plans: Solo (£29 per month + VAT) for use by one individual; Team (£38 per user per month + VAT) for firms, with one paid seat for each user; and Custom builds as set out in an order form. Each plan's features are described on our website or in your order form.
2.3We may improve, update or change the service. We will not make changes that materially reduce its core functionality without giving notice under clause 17.
3. Accounts and users
3.1You must give accurate information when you register and keep it up to date.
3.2Each seat is for one named person and must not be shared. You are responsible for everything done through your users’ accounts, and for keeping credentials secure. Tell us promptly if you suspect unauthorised access.
3.3You may add or remove users. Fees change from the next billing period.
4. Your responsibilities
4.1Human review. Accelamos prepares drafts. Your team reviews and approves every email and message before it is sent to a client. You are responsible for every email and message sent from your account, whether or not Accelamos drafted it. You also decide which systems and workflows Accelamos may act in, and you are responsible for actions it takes within the access you grant.
4.2Professional responsibility. You remain solely responsible for your advice, professional judgement, regulatory obligations and relationships with your clients. Accelamos does not give accounting, tax, legal or financial advice and does not replace a qualified professional.
4.3Client systems. Before you connect a client’s mailbox or other system, you must hold that client’s valid authority and have given them the information the law requires, as set out in the DPA. Keep a record of that authority.
4.4Lawful use. You must have a lawful basis for the data you upload or connect, and must not upload or connect data you have no right to use.
4.5Acceptable use. You must not: use the service unlawfully or to send spam, harassing or misleading messages; attempt to break, probe or overload it; reverse engineer it or extract its models or prompts; resell or share access except as these terms allow; or use it to build a competing product.
5. AI outputs
5.1Accelamos uses AI. Drafts can be inaccurate, incomplete or unsuitable, and may be different each time. You must check every draft before it is sent.
5.2We do not guarantee that outputs are correct, that any particular time saving or other result will be achieved, or that the service will meet every requirement of your practice. Results vary between firms.
5.3We do not use your data to train AI models, as set out in the DPA and our privacy policy.
6. Fees and payment
6.1Fees are as set out on our website at sign-up or in your order form, and are exclusive of VAT, which we add where it applies.
6.2We bill monthly in advance by card. You authorise us or our payment provider to collect fees when due.
6.3If a payment fails or is late, we may suspend the service after 14 days’ notice, and charge interest on late payments at the rate permitted by the Late Payment of Commercial Debts (Interest) Act 1998.
6.4We may change our prices on at least 30 days’ written notice, effective from your next billing period. If you do not accept a change, you may cancel before it takes effect.
6.5Except where the law requires otherwise or we state otherwise in writing, fees already paid are not refundable.
7. Term, cancellation and suspension
7.1The Agreement starts when you register or sign an order form and continues month to month until cancelled. There is no long-term commitment unless an order form says otherwise.
7.2You may cancel at any time from your account or by emailing us. Cancellation takes effect at the end of the current billing period, and you will not be charged for later periods.
7.3We may suspend or end your access immediately if you materially breach the Agreement, do not pay, or use the service in a way that risks harm to others or to the service. Where it is practical and lawful, we will tell you first and give you a reasonable chance to fix the problem.
7.4When the Agreement ends, you can export your data for 30 days, and we will then return or delete it as set out in the DPA. Clauses that by nature should survive, including 9, 12, 14, 15 and 19, will survive.
8. Data protection
8.1We use personal data as described in our privacy policy. For personal data we process for you, you are the controller and we are the processor, and the DPA applies.
8.2You must have a lawful basis, and give your clients the information the law requires, for the processing you instruct us to carry out.
9. Ownership and licences
9.1Your data. You own your data, including client content and the Context Layer and other Derived Data as defined in the DPA. You give us a licence to use it only to provide the service to you, as set out in the DPA.
9.2Our service. We and our licensors own the service, its software, models, designs and branding. We give you a limited, non-exclusive, non-transferable right to use it during the Agreement for your own internal business purposes.
9.3Feedback. If you give us suggestions or feedback about the service, we may use them without restriction or payment. This does not include your data.
9.4Outputs drafted for you are yours to use. We do not guarantee that they are free of third-party rights.
10. Third-party services and integrations
10.1Accelamos works with third-party services such as Microsoft Outlook, Gmail, WhatsApp, SMS providers and practice management or accounting software. Not every integration is available to every customer at every time. We will confirm which are available for your setup before you subscribe or in your order form, and we do not promise integrations that are described as planned or in development.
10.2Those services belong to third parties and are subject to their own terms. We do not control them and are not responsible for their availability, changes, fees or conduct. You are responsible for holding any licence or account you need to use them with Accelamos.
10.3A change in a third-party service may affect an integration. We will take reasonable steps to tell you where we can.
11. Availability and support
11.1We will use reasonable endeavours to keep the service available and to provide support by email during UK business hours. We do not currently commit to uptime or response-time targets.
11.2We may carry out planned maintenance and will try to give notice and schedule it outside business hours. We are not responsible for downtime caused by things outside our reasonable control.
12. Confidentiality
12.1Each party must keep the other’s confidential information secret, use it only for the Agreement, and disclose it only to people who need to know it and are bound to keep it confidential, or as the law requires.
12.2This does not apply to information that is public through no fault of the recipient, was already lawfully known to it, or is independently developed.
13. Warranties
13.1We will provide the service with reasonable skill and care.
13.2Apart from that, and to the extent the law allows, we give no other warranties, terms or conditions, express or implied, including about fitness for a particular purpose or uninterrupted or error-free operation. The service is provided on an “as is” and “as available” basis for matters not covered by clause 13.1.
14. Liability
14.1Nothing in the Agreement limits or excludes liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or anything else that cannot lawfully be limited.
14.2Subject to 14.1, we are not liable for: loss of profit, revenue, business, goodwill or anticipated savings; or any indirect or consequential loss; in each case whether in contract, tort (including negligence) or otherwise.
14.3Subject to 14.1, our total liability to you under or in connection with the Agreement in any 12-month period is limited to the fees you paid in the 12 months before the claim arose.
14.4Liability for breach of data protection law is dealt with in clause 17 of the DPA.
14.5We are not liable for any loss arising from emails or messages you send without adequate review, or from your failure to hold the authority described in clause 4.3.
15. Force majeure
Neither party is liable for a delay or failure caused by events outside its reasonable control, including outages of third-party services, internet or power failures, strikes, or acts of government. This does not excuse a failure to pay.
16. Complaints and disputes
16.1If you have a problem, email alex@accelamos.ai and we will try to resolve it promptly and in good faith.
16.2This does not affect either party’s right to go to court.
17. Changes to these terms
17.1We may update these terms. We will give you at least 30 days’ written notice of any change, with a description of it. If you do not accept the change, you may cancel before it takes effect.
17.2Changes required by law may take effect on shorter notice. Changes to personal data terms follow the DPA.
18. General
18.1Entire agreement. The Agreement is the whole agreement between us on its subject and replaces earlier discussions or marketing materials. You have not relied on anything not set out in it.
18.2Assignment. You may not transfer your rights or obligations without our written consent. We may transfer ours to a successor to our business, and will tell you.
18.3Third parties. Nobody other than the parties has any right to enforce the Agreement under the Contracts (Rights of Third Parties) Act 1999.
18.4Notices. We may give notice by email to your account address or through the service. You may give notice to alex@accelamos.ai.
18.5Severance and waiver. If part of the Agreement is unenforceable, the rest continues. A delay in enforcing a right is not a waiver of it.
18.6No partnership. The parties are independent. Nothing makes either an agent, employee or partner of the other.
19. Governing law
The Agreement, and any dispute or claim arising out of or in connection with it, is governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction.
